About these terms
These terms apply to your use of the Mudball Studio website and, where relevant, to the professional services we provide. By using this site or engaging Mudball Studio for services, you agree to these terms.
Mudball Studio is operated by Fred James, based in Vancouver, British Columbia, Canada. Questions about these terms can be directed to fred@mudballstudio.com.
Use of this site
This site is provided for informational purposes. You may use it to learn about our services, book a Signal Call, and make contact. You agree not to:
- Use this site for any unlawful purpose
- Attempt to gain unauthorised access to any part of this site or its underlying systems
- Reproduce or redistribute content from this site without written permission
All content on this site, including copy, design, and code, is the property of Mudball Studio unless otherwise noted.
Signal Call
The Signal Call is a free, 30-minute consultation. Booking a Signal Call creates no obligation to purchase services. The written report produced following the call is yours to keep, regardless of what you decide next.
Mudball Studio reserves the right to decline a Signal Call or to conclude that a full engagement is not an appropriate fit. In either case, you will be notified promptly and at no cost to you.
Service engagements
When you engage Mudball Studio for paid services, the specific scope, deliverables, timeline, and fees are defined in a separate proposal or agreement. Those terms take precedence over these general terms where there is a conflict.
In general:
- Scope: Work is performed against an agreed scope. Changes to scope that affect timeline or cost require a written agreement before work proceeds.
- Approval gates: Deliverables require your review and approval before the next phase begins. Delays in approval may affect the project timeline.
- Payment: Payment terms are specified in the proposal. Work does not commence until an initial payment is received unless otherwise agreed in writing. Late payments may pause active work. Payments are non-refundable once work has begun.
- Ownership: Upon receipt of final payment, you own all deliverables produced for you: strategy documents, website code, copy, and design assets. Mudball Studio retains the right to reference the engagement and show the work in its portfolio unless you request otherwise in writing.
- Confidentiality: Information you share about your business in the course of an engagement is treated as confidential and will not be disclosed to third parties. This obligation survives the end of the engagement.
- Termination: Either party may end an engagement according to the terms in the proposal. Work completed up to that point remains payable. Access to deliverables may be limited until outstanding payment is settled.
Intellectual property
All content on this site, including written copy, visual design, and code, is protected by copyright and owned by Mudball Studio. You may not reproduce, distribute, or create derivative works from any part of this site without written permission.
Deliverables produced for clients are transferred to client ownership on final payment, as described above.
Third-party tools and services
We use and recommend third-party tools as part of our service delivery (including Cal.com, Google Analytics, Brevo, and Netlify). Your use of these tools is subject to their own terms of service. Mudball Studio is not responsible for the availability, performance, or policies of third-party services.
No guarantees
Mudball Studio provides services based on experience and professional judgment. We do not guarantee specific outcomes, including revenue increases, conversion improvements, or search rankings. Results depend on factors outside our control, including execution, market conditions, and internal decisions.
Limitation of liability
To the extent permitted by law, Mudball Studio's liability for any claim arising from an engagement is limited to the fees paid for that engagement.
Governing law
These terms are governed by the laws of British Columbia, Canada. Any disputes will be resolved under the jurisdiction of the courts of British Columbia.
Changes to these terms
We may update these terms from time to time. Changes will be posted on this page with an updated date. Continued use of this site after changes are posted constitutes acceptance of the revised terms.
